Bylaws - TIPS SW Chapter

These bylaws (“Bylaws”) govern the affairs of Texas Indo-American Physicians society Southwest chapter, a Non-profit corporation (“Corporation”) organized under the Texas Non-profit Corporation Act (“Act”).

Article 13 Miscellaneous Provisions

13.1 Legal authorities governing construction of bylaws. The bylaws shall be construed in accordance with the laws of the State of Texas. All references in the bylaws to statutes, regulations, or other sources of legal authority shall refer to the authorities cited, or their successors, as they may be amended from time to time.

13.2 Legal Construction: If any bylaw provision is held to be invalid, illegal, or unenforceable in any respect, the invalidity, illegality, or non-enforceability shall not affect any other provision and the bylaws shall be construed as if the invalid, illegal, or unenforceable provision had not been included in the bylaws.

13.3 Headings The headings used in the bylaws are used for convenience and shall not be considered in construing the terms of the bylaws.

13.4 Gender: Wherever the context requires, all words in the bylaws in male or female gender shall be deemed to include all genders and all singular words shall include the pleural and all pleural words shall include the singular.

13.5 Seal: The board of Directors may provide for a corporate seal. Such a seal would consists of two concentric circles containing the words “Texas Indo-American Physicians Society, Southwest Chapter” in one circle and the word “Incorporated” and the date of Incorporation of the corporation in the other circle.

13.6 Power of Attorney: A person may execute any instrument related to the Corporation b means of a power of Attorney if an original copy of the power of Attorney is provided to the secretary of the Corporation to be kept with the Corporation records.

13.7 Parties Bound: The bylaws shall be binding upon and inure to the benefit of the directors, officers, committee members, employees, and agents of the corporation and their respective heirs, executors, administrators, legal representatives, successors, and assigns except as otherwise provided in the bylaws.

13.8 Liaison with the Texas Indo-American Physician society (TIPS) The southwest chapter of TIPS shall be an integral part of the Texas Indo-American Physician society. All members of the Southwest region Texas Indo-American physician society automatically become members of the above named societies. President, immediate past president,two members at large and one delegate for every 50 members of the southwest regional society shall be on the house of delegates of Texas Indo-American Physician society. The two members at large and other delegates to TIPS will be named by the president in consultation with the executive committee. Communications from TIPS will be disseminated to the membership by the president or his designee in a timely manner. As mandated by TIPS, one of the delegates of the regional society shall be an office bearer of the TIPS.

13.9 Liaison with Association of American Physicians from India (AAPI) Liaison with AAPI Official communications and representation to AAPI will be made through TIPS.

Please note the following changes in Articles of Incorporation:

Article No. 7: membership

Active membership will be open to all Physicians of Asian Indian Heritage ,defined as M.D. & D.O. and dentists, both in practice. Associate membership is open to students, residents and physicians and dentists, podiatrists in post-graduate training of Asian Indian Heritage . Other categories can be defined in bylaws. Dues for membership and voting privileges will be defined in bylaws.
